Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Simpli Software LLC ("Simpli Software," "we," "us," "our") governing your access to and use of our software products — Simpli Shop Pro, Simpli Fleet Pro, and Simpli Trades Pro (each a "Service") — and this website. By creating an account or using a Service, you agree to these Terms.

1. The Services

Our Services are subscription software products for small businesses:

• Simpli Shop Pro — management software for independent auto repair shops (customers, vehicles, estimates, jobs, invoicing, inventory, and scheduling).
• Simpli Fleet Pro — fleet management software (vehicles, maintenance, driver inspections, fuel, documents, tracking, and optional dispatch and scheduling).
• Simpli Trades Pro — field service software for trade contractors (estimates, jobs, invoicing, and parts inventory).

Each product's own website may describe additional product-specific terms, which apply alongside these Terms.

2. Accounts

You must provide accurate information when creating an account and are responsible for keeping your login credentials secure and for all activity that occurs under your account.

3. Free trials

Each Service may be offered with a free trial. No payment details are required to start a trial. At the end of a trial you can choose to subscribe; if you don't, access to paid features may end.

4. Subscription and payment

The Services are offered on a monthly subscription basis at the prices shown on our website and product websites. Fees are billed in advance through our payment processor, Stripe, and any applicable taxes are calculated at checkout. Fees are non-refundable except as described in our Refund & Cancellation Policy or where required by law. We may change our fees with reasonable advance notice.

5. Cancellation

You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access until then. We don't charge cancellation fees.

6. Acceptable use

You agree not to misuse the Services, including by attempting to access data or accounts you're not authorized to access, disrupting the Services, or using them for any unlawful purpose.

7. Your data

You retain ownership of the data you submit to the Services. You're responsible for the accuracy of that data and for having the right to submit it. See our Privacy Policy for how we handle data.

8. Third-party services

The Services rely on third-party providers (for example, payment processing, messaging, and hosting) to operate. We aren't responsible for the acts or omissions of third-party providers.

9. Disclaimer of warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Services will not exceed the amount you paid us in the twelve (12) months preceding the claim, and we will not be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Termination

We may suspend or terminate your access to a Service for violation of these Terms. You may stop using a Service at any time.

12. Changes to these Terms

We may modify these Terms from time to time. Continued use of a Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles.
